Error on Boot Won't go away

I'm not getting any help here -- Anybody??? PLEASE!

Dell Studio XPS
8GB RAM
1TB HDD
Win7 SP1
Ubuntu 12.04 LTS

I've run "Re-Create/Repair Boot Files" in EBCD
I've run "Reset BCD Configuration" in EBCD

If I try to boot into Ubuntu from this menu I get this response on the screen.

When that fails and I try to boot from Windows, it loads and hangs at the very last when everything seems to be going ok. (not)
So then I boot into Safe Mode and when that's done I reboot into Windows and this time it finishes the boot. And here we are....

I would be so happy if someone would help me fix this.
